新纽科技收购东软越通进展：已签订补充协议
财中社12月13日电新纽科技（09600）发布公告，更新收购北京东软越通软件技术有限公司的情况。根据股权转让与增资协议，卖方包括代琳琳、东软创投、田维海、刘萃、董静、李占广及袁磊。截至公告日，东软越通的股权结构为东软创投持有14.7601%、田维海11.8585%、刘萃0.5363%、董静0.1283%、李占广0.0642%、袁磊0.0642%及新纽科技72.5883%。此外，业绩承诺方田维海和刘萃承诺了2022至2024年的业绩目标。
公告中提到，12月12日公司与卖方签订补充协议，据此，刘萃同意将其在东软越通持有的0.5363%股权转让给田维海，转让完成后，刘萃将不再持有该公司股权，田维海将承担相关权利和责任。同时，田维海需承担刘萃在业绩承诺及相关义务下的所有责任。另一方面，公告还涉及股权转让协议的补充，调整了未支付的资金占用费利率，以更好反映市场实际存款基准利率。
