金吾财讯 | 天誉置业(00059)公布，于2025年2月6日，公司收到一名债券持有人向高等法院提出的对公司的清盘呈请，内容有关指控公司未偿还其持有的无抵押债券，涉及本金700万港元及其应计利息及违约利息合共281.84万港元。香港呈请人为公司于2020年及2021年期间发行的无抵押债券的实益拥有人之一，截至本公告日期，该等无抵押债券的未偿还本金额合共为1.53亿港元。根据《公司（清盘及杂项条文）条例》（香港法例第32章）第182条， 倘公司最终因香港呈请而清盘，则于起始日后对公司直接拥有的财产作出的任何处置、任何公司股份转让或任何公司股东地位的变更将属无效，除非获得高等法院授出的认可令。 倘香港呈请随后被撤回、撤销、驳回或永久搁置，则于起始日或之后作出的任何有关财产处置、转让或变更均不受影响。
