智通财经APP讯，基石控股(01592)公布，董事会获公司主要股东太平洋石业投资有限公司(太平洋石业投资)告知，由于太平洋石业投资的股票经纪于2025年3月28日根据融资安排进行强制出售，太平洋石业投资持有的2000万股股份(相当于公司于本公布日期已发行股本总额约0.83%)已于市场上出售。于本公布日期，控股股东、主席兼执行董事雷雨润先生拥有太平洋石业投资的全部股权。紧随出售事项完成后及于本公布日期，太平洋石业投资于公司的权益百分比已减少至公司已发行股本总额约63.82%。
根据上市规则附录十第A.3段，董事不得于其财务业绩刊发的任何日子及紧接年度业绩刊发日期前60日期间买卖公司任何证券。董事会就刊发截至2024年12月31日止年度的年度业绩而举行的会议预定于2025年3月31日举行，故出售事项乃于禁售期内进行。
经考虑出售事项后，董事(雷雨润先生除外)信纳，于禁售期内属强制出售的出售事项乃在特殊情况下发生。
