智通财经APP讯，中国铝业(02600)公布，于2025年4月3日，中铜西藏、宁夏能源与西藏开投订立出资协议，据此，各方同意共同出资设立合资公司。合资公司成立后，中铜西藏、宁夏能源与西藏开投将分别持有合资公司56.10%、23.90%及20.00%的股权，合资公司将不会成为该公司 的附属公司，其财务业绩亦不会合并到公司账目中。
根据出资协议，合资公司的注册资本约为人民币47.67亿元，中铜西藏、宁夏能源与西藏开投分别出资约26.74亿元、11.39亿元及9.53亿元。
本次设立合资公司的目的是为建设运营西藏金龙铜矿源网荷储一体化综合供电项目，宁夏能源拥有丰富的电力专业技术和建设运营管理经验，参与本项目可进一步发挥宁夏能源在电力项目建设及运营方面的专业优势，有效发挥宁夏能源专业技术支撑和专业协同作用，也有利于进一步提升宁夏能源在电力行业的影响力及综合竞争力，扩大在西藏地区的布局规划。同时，宁夏能源预期可从合资公司获得长期、稳定的收益，亦有利于提升宁夏能源的经营业绩。
于本公告日期，宁夏能源为该公司的附属公司，中铝集团为该公司的控股股东，中铜西藏为中铝集团的附属公司。于本公告日期，西藏开投由西藏自治区人民政府国有资产监督管理委员会100%持有。
