智通财经APP讯，康哲药业(00867)公布，公司建议将公司附属公司德镁医药股份分拆并于联交所主板独立上市。建议分拆(倘进行)预计将透过由公司以实物方式向股东分派其持有的所有德镁医药股份的方式实施，分派比例将按截至董事会为确定股东权利而厘定的记录日期当日彼等各自于公司的持股比例计算。
根据上市规则第 15 项应用指引，德镁医药股份于联交所独立上市，构成公司对德镁医药的分拆。联交所已确认公司可进行建议分拆事宜。
就建议分拆而言，于2025年4月22日，德镁医药向联交所递交申请，以申请批准德镁医药股份以介绍上市方式于联交所主板上市及买卖。
据悉，德镁医药是一家在开曼群岛注册成立的获豁免有限公司，为公司的附属公司。于本公告日期，德镁医药的 90.8%权益由公司实益拥有，其余 9.2%权益由两个雇员激励平台持有。该等平台的受益人为德镁医药为激励或奖励对分拆集团有贡献的合资格参与者而设立的两项雇员激励计划的承授人。
