International Flavors and Fragrances said Thursday it appointed Kevin O'Byrne its new board chair along with three new board members, including an executive handpicked by Carl Icahn's firm.
O'Byrne succeeds Roger Ferguson Jr., who has served as chair of International Flavors since 2022 and been on its board for 14 years.
The New York company also said it appointed Cynthia Jamison, Mehmood Khan and Vincent Intrieri to the board of directors. Intrieri's appointment is at the request of Icahn Capital, an entity owned by investor Carl Icahn.
Icahn had a say in Intrieri's board appointment because of a November 2023 agreement between IFF and Icahn Capital which mandates that the entities renominate one Icahn-picked director and one mutually-agreed director to the IFF board.
Intrieri is the CEO of VDA Capital Management, a private investment fund founded in 2017. He worked for several entities related to Carl Icahn from 1998 to 2016, including as senior managing director of Icahn Capital from 2008 to 2016. He is currently a director at Icahn Enterprises, a limited partnership owned by Icahn that invests in industries including energy, automotive and real estate.
Khan is CEO of Hevolution Foundation, a bioscience-focused nonprofit organization. Jamison was previously financial chief at AquaSpy, and is currently a board chair at Darden Restaurants and Big Lots.
Intrieri is expected to succeed Gary Hu, who plans to step down Dec. 31. Christina Gold and John Davidson said they would not pursue board re-election. With their departures and the new appointees, IFF would have ten board members, it said.
