Insignia Financial (ASX:IFL) received a confidential, non-binding, and indicative takeover proposal via a scheme of arrangement from CC Capital Partners at a price of AU$4.30 cash per share, according to a Monday filing with the Australian bourse.
CC Capital also made an alternative offer of unlisted stub equity subject to caps and scale-back.
The indicative proposal represents a 7.5% premium to Bain Capital's bid of AU$4 cash per share last Dec. 12, 2024, per the filing.
Insignia Financial said it is assessing CC Capital's offer while noting that there is no certainty that any transaction will occur.
