Activist Filings

Paramount Global (PARA) Gamco Investors raised its stake in the media firm to 4,768,277 shares. Gamco purchased 48,214 Paramount shares from Dec. 13 through Dec. 27, 2024, at per share prices ranging from $21.95 to $22.93, offset by the sale of 14,654 shares from Dec. 12 to Dec. 26 at $21.86 to $22.84 apiece. Paramount announced a definitive agreement with Skydance in early July to merge in a deal valued at more than $8 billion.

However, Gamco has raised concerns over the fairness of the merger to minority shareholders. On Oct. 25, Gamco urged Paramount's board to review Project Rise Partners' $13.5 billion cash offer for the company. On Dec. 30, Gamco filed an expedited Section 220 complaint after Paramount failed to comply with Gamco's original demand for information from Nov. 8.

Following the latest activity, Gamco owns 11.7% of Paramount Global's outstanding stock. Shares have lost over a quarter in value since the start of 2024.

Original Filings

FIGS $(FIGS)$ Bamco filed an initial 13D at the healthcare apparel company, a shift to a form made by activist investors from previous disclosures in a passive 13G. Bamco acquired 719,954 FIGS shares from Oct. 30 through Dec. 11, 2024, at prices ranging from $5.01 to $6.37 apiece, and offset those purchases through the sale of 38,050 shares on Nov. 18 at $4.98 to $5.

On Dec. 31, Bamco issued a letter to FIGS, opposing the company's proposed "going private" transaction by Story3 Capital Partners for $6 per share, noting that a leveraged buyout would harm FIGS' growth, employees, and product quality. Also, Bamco entered into a put-call agreement on Jan. 7 allowing it to acquire up to 46,873,824 shares at $6.25 apiece.

Following the purchases, Bamco owns 30,837,759 FIGS shares, equal to a 19.1% stake. Shares have lost roughly 12.1% since the start of 2024.

Enviri $(NVRI)$ Neuberger Berman filed an initial 13D at the industrial-services company, a shift to a form made by activist investors from previous disclosures in a 13F required by institutional investment managers. Neuberger reported that it purchased 516,228 shares from Oct. 31 to Dec. 27, 2024, at prices ranging from $6.70 to $7.75 apiece, then offset those purchases through the sale of 274,261 shares from Oct. 31 to Dec. 27 at $6.69 to $7.89 apiece.

Following the latest activity, Neuberger owns 5,432,015 Enviri shares, equal to 6.8% of those outstanding. Shares have lost about 6% since the start of 2024.

Increases in Holdings

Mastercraft Boat Holdings $(MCFT)$ Coliseum Capital Management raised its stake in the recreational powerboat maker to 3,562,615 shares. Coliseum purchased 189,945 Mastercraft shares from Dec. 26 to Dec. 30, 2024, at per share prices of $17.99 to $19.05. Following the latest purchases, Coliseum owns 21.2% of Mastercraft's outstanding stock. Shares of Mastercraft Boat Holdings have lost about a fifth in value since the start of 2024.
