IMB's Unit Agrees to Acquire KOBE for AU$7 Million

Intelligent Monitoring Group (ASX:IMB) said its unit ADT Security Group has agreed to acquire Kobe, a Queensland-based supplier of security systems, according to a Monday filing with the Australian bourse.

ADT Security Group will acquire Kobe for about AU$7 million in cash, with a deferred payment of AU$1.9 million, contingent on Kobe's earnings before interest, taxes, depreciation, and amortization (EBITDA) for the year ending June 30, 2026, the filing said.

Projected to complete this quarter, the acquisition is expected to immediately be accretive to earnings per share and to contribute AU$2.5 million in pro-forma EBITDA for fiscal 2025, the filing added.

The deal will be funded from the proceeds of IMG's capital raise in November 2024, the company said.

The acquisition of Kobe is expected to further contribute to IMG's continued growth, with adjusted EBITDA for fiscal 2025 anticipated to exceed AU$38 million, excluding contributions from recent acquisitions, the company said.
