Many Simpson Manufacturing Co., Inc. (NYSE:SSD) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, if numerous insiders are selling, shareholders should investigate more.
While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The CEO, President & Director, Michael Olosky, made the biggest insider sale in the last 12 months. That single transaction was for US$1.3m worth of shares at a price of US$187 each. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. The silver lining is that this sell-down took place above the latest price (US$160). So it may not shed much light on insider confidence at current levels.

The last quarter saw substantial insider selling of Simpson Manufacturing shares. Specifically, Executive Vice President of Europe - Simpson Strong-Tie Switzerland GmbH Michael Andersen ditched US$170k worth of shares in that time, and we didn't record any purchases whatsoever. In light of this it's hard to argue that all the insiders think that the shares are a bargain.
For a common shareholder, it is worth checking how many shares are held by company insiders. We usually like to see fairly high levels of insider ownership. It appears that Simpson Manufacturing insiders own 0.4% of the company, worth about US$24m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.
